KITTS Paid Work Experience

Basic Terms
These Terms & Conditions, together with the application form, form a contract between the University Partner (hereinafter called "The Partner" ) and the organisation utilising the services of the Partner (hereinafter called "The Client").
2. Eligibility
Companies:
The KITTS scheme is open to all West Midland
businesses. A subsidy is available for Small to Medium Sized enterprises.
These are defined as 'enterprises which have fewer than 250 employees and
subject to an annual turnover of less than £25 million.' There
may be some funding for larger businesses.
Graduates:
The KITTS scheme is open to graduates, including HND students,
of any discipline living within the West Midlands.
3. Length of Placement
The placement should run for a minimum of 6 weeks up to a maximum of 10 weeks. In the event The Client should wish to extend the placement period for the graduate to complete the project, this will be a matter for negotiation between the graduate and The Client. The terms will need to be detailed in a new offer letter to the graduate.
4. The Process
The graduate will be recruited jointly by The Partner and The Client and offered a contract for the placement by The Partner. The graduate will work mainly on the company premises and follow the normal practices of the company regarding confidentiality, attendance and leave. The Partner will pay the Training Allowance to the graduate. No termination of the graduate's contract will be made without adequate consultation between The Partner and The Client.
5. Responsibility
a) The Client will nominate a staff member to supervise the graduate on a day to day basis.
b) The Client is responsible for providing:
- a clear brief for the graduate
- suitable support to ensure a successful outcome
- regular meetings to monitor progress and to check milestones are being achieved
c) The graduate will not be diverted from the KITTS project-related activities to meet other needs and will spend approximately 35 hours on appropriate formal/informal training during the placement.
d) The Partner will invoice The Client within the first two weeks of the project start date, for the total amount given at item 8. Payment to be made within 28 days of the invoice date. If the KITTS Programme is terminated prematurely by The Client or graduate (for whatever reason) The Client will be liable to pay to The Partner its share of any expenditure incurred or committed by The Partner in respect of the KITTS Programme, no matter whether that expenditure was incurred by The Partner before or after the date of termination. It is understood that any invoice submitted by The Partner to The Client may be subject to the addition of VAT (which may or may not be recoverable by The Client).
e) Participating companies can have up to three graduates during the three year period (November 2002 to October 2005) providing all the projects are different. The projects can run concurrently or at different times.
6. Liability
The Partner will try to ensure that its nominated graduates meet The Client's required standard of technical and professional competence and integrity. However, The Partner does not accept any liability for injury, loss or damage to persons, property or business arising directly or indirectly from any act or omission of a graduate howsoever caused.
7. Graduate Status and Competency
For the avoidance of doubt, the graduate is not an employee of The Partner and The Client will be sole judge of the competence of the graduate to undertake any given task. The Partner accepts no responsibility for the graduate's competence or lack of competence.
8. Payment Terms
- The contribution level for the recruitment of a ' KITTS placement' graduate will be as confirmed by The Partner (plus VAT).
- The contribution payable to The Partner by The Client for the introduction of an applicant becomes payable with immediate effect from commencement of the graduate's engagement by The Client.
- The Partner's invoices are to be paid within 28 days of receipt by The Client and are subject to VAT.
9. Replacement Guarantee
Should a graduate wish to leave The Client's employment within two weeks of the commencement date, and provided The Client informs The Partner within 7 working days of the termination, The Partner will endeavour to find a replacement.
10. Variation
No variation can be made to these Terms & Conditions without the written consent of The Partner.
These Terms and Conditions are to be read on conjunction with the Joint Commitment Statement which forms part of the KITTS Programme Grant Application and Proposal Form.
11. Law
These Terms will be governed by and construed in accordance with English Law.
12. Intellectual Property Rights
The Parties agree as separate enforceable obligations the following sub-clauses:-
(i) All Intellectual Property Rights in any academic materials produced in the performance of this Agreement shall belong to The Partner. Academic materials are defined as published papers, reports and articles for academic and educational purposes, including teaching and learning by The Partner.
(ii) All other Intellectual Property Rights shall belong to The Client.
(iii) Except as permitted by the terms and conditions of this Agreement items referred to in sub-clauses (i) and (ii) shall not be reproduced or disseminated in the United Kingdom or elsewhere without prior consultation with and the consent of The Partner, nor shall the said items be used either for the purposes of developing any further items or for any other purpose whatsoever without prior consultation and agreement.
